Acceptance of Terms

By accessing the SCODEIT website, requesting a demo, using a Zentrack application, or receiving SCODEIT services, you agree to these Terms. If you use the services on behalf of an organization, you confirm that you are authorized to accept these Terms for that organization.

Use of Services

SCODEIT provides SaaS and enterprise software for business operations, workforce management, healthcare workflows, billing, accounts, productivity, and related use cases. You may use the services only for lawful business purposes, in accordance with product documentation, applicable agreements, and all laws that apply to your organization and data.

Product features may vary by plan, deployment, configuration, country, customer agreement, and implementation scope. Website descriptions are for product communication and do not replace a written commercial agreement.

User Accounts

You are responsible for keeping account credentials secure, maintaining accurate account information, assigning appropriate user roles, and promptly notifying SCODEIT of suspected unauthorized access. Customer administrators are responsible for user invitations, permissions, data entry, configuration choices, and internal compliance within their organization.

Subscription and Billing

Subscription fees, billing cycles, taxes, payment terms, renewal terms, support scope, and deployment charges are defined in the applicable proposal, order form, invoice, or customer agreement. SCODEIT may suspend or restrict services for non-payment, misuse, legal risk, or material breach after reasonable notice where practical.

Intellectual Property

SCODEIT Technologies owns or licenses the SCODEIT name, Zentrack name, product names, software, source code, user interfaces, designs, documentation, logos, branding, and website content. Customers retain ownership of their business data, subject to the rights needed for SCODEIT to provide, support, secure, and improve the services.

No rights are granted except the limited right to use the services under the applicable agreement. You may not copy, resell, reverse engineer, modify, or create derivative works from SCODEIT software unless expressly permitted in writing.

Acceptable Use Policy

Service Availability

SCODEIT aims to provide reliable services and may perform maintenance, updates, backups, monitoring, and security work. Services may be affected by planned maintenance, emergency fixes, internet issues, hosting providers, third-party integrations, customer configuration, or events outside SCODEIT's reasonable control. UAT, demo, beta, and roadmap features may have different availability expectations from production services.

Limitation of Liability

To the maximum extent permitted by law, SCODEIT Technologies is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, loss of profit, loss of revenue, loss of goodwill, business interruption, or loss of data arising from use of the website or services. SCODEIT's total liability is limited to the amount paid for the affected service during the period defined in the applicable written agreement, unless applicable law requires otherwise.

SCODEIT software supports operational workflows and reporting but does not replace professional legal, tax, accounting, medical, payroll, or compliance advice. Customers remain responsible for validating outputs, configurations, reports, filings, and operational decisions.

Termination

Either party may terminate services as allowed by the applicable agreement. SCODEIT may suspend or terminate access for material breach, non-payment, security risk, unlawful use, or misuse of the services. Data export, retention, deletion, and post-termination support are handled according to the relevant agreement and product capabilities.
